International Corporate Paralegal Miami, FL Job Description Under the supervision of a licensed Florida attorney, the
International Corporate Paralegal will assist with maintaining and
filing corporate records, including resolutions, board of director
changes, annual reports, etc. They will assist with coordinating
and receiving board and committee signatures for documents and
materials; creating documents related to new corporate entity
formations; maintaining intellectual property portfolios; and
producing documents related to the development and implementation
of corporate policies and templates. They will provide contract
support for standard corporate agreements, such as non-disclosure,
marketing, and independent contractor agreements; provide
administrative support for documents and activities related to
corporate restructurings, such as mergers, formations, and
dissolutions. They will work with other members of the firms
corporate legal team on special projects and initiatives; oversee
the contract process, including planning, collaboration,
negotiation, and execution. They will assist with drafting
contracts, agreements, letters, and communications to clients. They
will maintain scheduling and calendar deadlines; attend client
meetings; communicate with clients; perform legal research; and
organize and maintain documents in paper or electronic filing
systems. Responsible for handling sensitive material. The
international corporate paralegal will specifically work with the
foreign and international clients of the firm and their corporate
matters (under the supervision of a licensed attorney). Requirements Understanding of corporate procedures required. Bilingual
English and at least one foreign language (Spanish preferred, but
not required). Computer literacy (proficient with Mac/Apple
products and Microsoft office applications) required. Experience
with legal billing required.Minimum of an associates degree or
foreign equivalent in paralegal studies or international
business/law, or a foreign law degree; plus 2 years experience as
acorporate/business lawyer in foreign country, or as international
